Germany: Uniper signs agreement to sell its 20% stake in OPAL gas pipeline to Hy24

Uniper has signed an agreement to sell its 20% stake in OPAL to Hy24. Hy24 is a leading investor in the hydrogen sector, with a focus on infrastructure, technology, and industrial projects that support the development of a climate-neutral hydrogen economy. Hy24 is acquiring the stake via its Clean Hydrogen Infrastructure Fund.

The transaction comprises 100% of the shares in Lubmin-Brandov Assets GmbH & Co. KG, which holds a 20% co-ownership interest in OPAL. The remaining 80% co-ownership interest is held by GASCADE Gastransport GmbH.

The divestment is part of the remedies Uniper must fulfill under the EU state aid law. On December 20th, 2022, the EU Commission approved the stabilization package for Uniper under state aid law. As part of the approval, the EU Commission set out a number of structural remedies that Uniper must fulfil. At the same time, the transaction supports the continued alignment of Uniper's portfolio with its strategic core business activities.

OPAL is one of Europe's largest transmission corridors, spanning approximately 470 km from Lubmin in Germany to Brandov in the Czech Republic. As part of Germany's hydrogen core network, the northern section of OPAL was converted in mid-December 2025, while the southern section is expected to follow by the end of 2030.

The completion of the transaction remains subject to the required regulatory approvals and the non-execution of a pre-emption right by the fractional co-owner.
